1. Agreement to Terms

By accessing or using the SpectraDx website at spectradx.ai (the “Site”), any tools, services, or content provided by LumenMark LLC (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Site.

2. Description of Services

SpectraDx is a clinical workflow software platform for spectroscopy-based diagnostics. The Site provides information about our products and services, along with free browser-based tools including a Spectral File Viewer, SaMD Classification Tool, and ROI Calculator (collectively, the “Tools”).

3. Tools Disclaimer

The Tools available on this Site are provided solely for educational and demonstration purposes. They are not intended for clinical, diagnostic, regulatory, or any other decision-making purposes. Specifically:

• The Spectral File Viewer is a visualization tool only. It does not perform validated analysis, identification, or quantification of any substance.
• The SaMD Classification Tool provides general educational guidance on FDA software classification. It does not constitute legal or regulatory advice.
• The ROI Calculator uses simplified assumptions for illustrative purposes only. Actual costs, savings, and implementation timelines will vary.

We make no representations or warranties regarding the accuracy, completeness, or reliability of outputs from any Tool. You assume all risk associated with any use of or reliance on Tool outputs.

4. Intellectual Property

All content on this Site, including text, graphics, logos, software, and design elements, is the property of LumenMark LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent.

5. User Conduct

You agree not to:

• Use the Site or Tools for any unlawful or prohibited purpose
• Attempt to gain unauthorized access to any systems or networks connected to the Site
• Interfere with or disrupt the integrity or performance of the Site
• Scrape, crawl, or use automated means to access the Site beyond what is permitted by our robots.txt
• Misrepresent Tool outputs as validated clinical or regulatory assessments

6. Data Processing

The Spectral File Viewer processes all uploaded files entirely within your browser. No spectral data is transmitted to our servers. For more information about how we handle other data, see our Privacy Policy.

7. Limitation of Liability

To the maximum extent permitted by applicable law, LumenMark LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Site or Tools.

In no event shall our total liability exceed the amount you paid us, if any, in the twelve (12) months preceding the claim.

8. Disclaimer of Warranties

The Site and Tools are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Indemnification

You agree to indemnify, defend, and hold harmless LumenMark LLC from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the Site or Tools, your violation of these Terms, or your violation of any rights of a third party.

10. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site after any modifications constitutes acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
